TERMS OF USE
These terms apply to all users. Please read carefully before using Alethya.

1. Who we are

1.1 ALETHYA is a social connectivity tool and personal development website designed to enable you to establish a strong personal growth network of friends and professionals on an emotional pathway to self-actualisation. It enables you to explore relationships and all forms of personal connection, freedom and self-development within a supportive network.
1.2 The website at www.alethya.com (Alethya) is operated by ALETHYA LIMITED, a UK registered, private limited company (number 10928115) with its registered office at 124 Halford Road, London SW6 1JX (we/us/our).

2. How these terms apply

2.1 These Terms govern your access to, and use of, Alethya at all times. It applies to any content you post on it, and any data you have opted to receive from it.
2.2 By using Alethya, you agree to be bound by these Terms, as well as our:
2.2.1 Acceptable Use Policy, applicable to all content uploaded to Alethya (available at www.alethya.com/acceptable-use-policy); and
2.2.2 Privacy Policy, which sets out how Alethya processes your personal data (www.alethya.com/privacy-policy);
(together, our Policies)
2.3 The Policies and these Terms constitute the entire agreement between you and us in relation to your use of Alethya; superseding all prior understandings between you and us. Our relationship will continue until your account is terminated or disabled in accordance with these Terms.
2.4 We may vary each of these documents at any time, and your continued use of Alethya will constitute acceptance of any changes. You are therefore strongly advised to check our website from time to time to take note of any changes as they will be binding on you.
2.5 Some of the provisions of these Terms, or any Policy, may be superseded by notices published elsewhere on Alethya.
2.6 YOUR SPECIFIC ATTENTION IS DRAWN TO those sections:
2.6.1 that specifically inform you about our disclaimers (8);
2.6.2 which limit our liability to you (9); and
2.6.3 that require you to indemnify us for any losses you cause to us as a result of your use of Alethya (7).

3. Can you use Alethya?

3.1 Not everyone is able to use Alethya (whether for legal reasons, breach of these Terms or Policies, or our discretion). To start using Alethya, you must satisfy the general eligibility criteria (listed in section 3.2) and ensure that none of the circumstances listed in section 3.3 apply to you.
3.2 To use Alethya, you MUST:
3.2.1 be at least 18 years old (valid ID will be requested on registration); and
3.2.2 not have been convicted of any physical offence against another person at any time, including under the Sexual Offences Act 2003 (in the UK) or any equivalent legislation relating to the control and punishment of similar offences in any other country (whether or not a custodial sentence was issued or served, in whole or in part).
3.3 By applying to register with Alethya, you WARRANT TO US that you:
3.3.1 are not currently a registered user (multiple accounts are not permitted);
3.3.2 are not currently subject to an account suspension or had your account recently terminated by us for breach of these Terms or any of our Policies within the past 12 months;
3.3.3 are registering on your own behalf (as an individual) and not for someone else, for legitimate purposes consistent with the purpose and functionality of Alethya;
3.3.4 have provided true, accurate and complete information (and agree to keep the same up to date); and
3.3.5 are acting outside the course of your business, profession, craft or trade.

4. How to use Alethya

4.1 To start using Alethya, you need to complete our online registration form and provide us with a summary of your intentions, interests and preferences (in no less than 200 words). This requires you to provide us with the information requested, some of which is your personal data (held in accordance with our Privacy Policy) for us to verify your application. You agree to keep this information regularly updated to ensure it remains accurate.
4.2 Once we approve your registration, your unique account and login details will be provided to you. These are unique to your account and personal to you, and must therefore be treated as confidential. You therefore agree to:
4.2.1 take all reasonable steps to prevent any unauthorised use of your account, or the unauthorised disclosure of your account details; and
4.2.2 notify us of any breach of security, unauthorised use of the account, or inadvertent disclosure of your account details as soon as reasonably practicable after discovery.
4.3 Alethya allows you to view content uploaded by other users and our partners, upload your own approved content, comment on that content and interact with others online. When doing so you must adhere to our Acceptable Use Policy at all times.
4.4 In order to ensure that Alethya achieves its objectives and maintains its integrity, you must ensure that all information you give to us complies with sub-section 3.3.4 and provides an accurate description of you personally, including your interests, preferences and circumstances.
4.5 From time to time, we may advertise or promote events through Alethya. You may register to attend any event by logging in to the relevant events page on the website, providing the requested information and paying the relevant fee. Either us or the relevant event organiser will confirm your registration, by email.
4.6 Where you are permitted to invite guests to any event for which you have registered, you must pay for their participation or attendance in accordance with the price and applicable terms. Where you provide any personal data relating to any guest, you represent to us that you have obtained the relevant guest’s consent to the processing of their data in accordance with our Privacy Policy (for these purposes) and by the event organiser.
4.7 Events may have to be postponed or modified for various reasons outside of your control. Where this happens, either we or the relevant event organiser will notify you in writing (via email) as soon as possible. If you are required to provide a response to that email, you must respond either within the requested time, or a reasonable time thereafter. If you do not, then you may not be entitled to request a refund.
4.8 Refunds shall be provided where any event has to be cancelled.

5. Our rights: account closure or suspension

5.1 Your access to, and use of, Alethya is conditional on your compliance with all the Policies, and these Terms. We reserve the right to disable, suspend or terminate any account and any access to Alethya if (in our reasonable opinion):
5.1.1 you have failed to comply with any of these Terms;
5.1.2 any content you upload is in breach of the Acceptable Use Policy;
5.1.3 we are unable to verify or authenticate any information you provide to us; or
5.1.4 you are subject to any investigation under section 6.
5.2 Reinstatement of your account will only be granted on satisfactory assurance to us (including any evidence, where requested) that sufficient steps have been taken to prevent such circumstances recurring.
5.3 Access may be temporarily suspended during periods of scheduled maintenance. We will use reasonable endeavours to notify you of any such periods in advance.
5.4 If you no longer wish to use Alethya, and do not want to remain registered with us (for any reason), you can close your account by emailing us at hello AT alethya.com or by simply deleting it yourself, through your Account Settings.
5.5 Closing your account means that your profile will be shut down and you will no longer be able to access information from Alethya, including your connections and any content you have uploaded (we will not automatically return this content to you).
5.6 Third party search engines may still display your information temporarily following closure. This is due to the way they collect and update their search data.
5.7 We may cancel or disable accounts that have been inactive for 6 months. Before this happens, we will contact that account holder and ask them to confirm their data at the next login, before you can continue to use Alethya.

6. Reporting

6.1 If you notice, suffer or incur a violation of these Terms, or any of our Policies, or if you suspect that your account may have been accessed or used by someone else (whether fraudulently or otherwise) at any time, you must promptly notify us in writing at hello AT alethya.com.
6.2 Whilst we do not have a legal obligation (or the technical resources) to verify the identity and age of all of our members, we do take such steps as are reasonably necessary to ensure our users comply with the eligibility criteria set out in section 3. If you have any doubt as to the integrity, identity, age or intentions or any of our users, please notify us and we will conduct an investigation as quickly as possible.
6.3 From time to time, we may create test profiles to monitor the safe and secure use of Alethya by users.

7. IP Rights

7.1 In these Terms, “IP Rights” refer to any patent, know-how, trade or service mark, design right copyright (including neighbouring and related rights), rights in passing off, database rights, rights in commercial or technical information, rights in any invention, discovery or process and any other intellectual property rights (whether registered or unregistered), including applications for the grant of any such rights and all rights or forms or protection (having equivalent or similar effect), anywhere in the world.
7.2 You accept and acknowledge that we own all rights and interests in, and titles to, all IP Rights in Alethya. You shall not acquire any such rights, interests or titles to Alethya, or any of the data contained on it (other than your personal data), except where expressly stated in these Terms.
7.3 Alethya is © of Alethya Limited: Any trademarks, logos, business or domain names featuring on Alethya (that relate to Alethya) are owned by us.
7.4 You are solely responsible for any content that you publish or display, or make available to other users, on Alethya. By posting such content, you automatically grant (and warrant that you have the right to grant) to us an irrevocable, perpetual, non-exclusive licence (on a worldwide basis) to use such information and content for the ordinary operation of our website.
7.5 You agree to indemnify us against all liabilities, costs, expenses, damages and losses (including all interest, penalties and legal fees on a full indemnity basis) that we suffer or incur under or in connection with any claim made against us by any third party arising out of, or in connection with, any content that has been uploaded to Alethya through your account (unless we have been notified of any fraudulent use, or misuse, under clause 6.1).
7.6 We reserve the right to use content from profiles (including the member’s username) for featuring in any promotional material.

8. Disclaimers

8.1 Access to Alethya is provided on an “as is” basis only. We do not guarantee to you that:
8.1.1 any content uploaded to Alethya (whether by us or another user) will be complete, accurate or up-to-date at all times; or
8.1.2 your access to your account will be continuous, uninterrupted and error-free (including glitches, bugs or inaccuracies) at all times.
8.2 Whilst we use all reasonable endeavours to ensure Alethya is (and remains) a safe, secure and reliable environment for all, we cannot guarantee this at all times. Whilst we use techniques to verify the accuracy and truth of information provided by our users, total user verification is difficult.
8.3 We make no guarantee to you that Alethya will be able to connect you with the right person, that you will meet any of our other members in person, or guarantee to you:
8.3.1 as to the number of people you are able to connect with through our website;
8.3.2 as to the conduct of another user;
8.3.3 that other users have identical or similar preferences, desires or criteria to you; or
8.3.4 that you will be compatible with any other user you meet through Alethya.
8.4 From time to time, we may offer new “beta” features or tools with which our users may experiment. Such features are offered solely for experimental purposes, without any warranty, and may be modified or discontinued at our sole discretion.
8.5 Whilst we take steps to verify the accuracy or truth of any content or information uploaded by users (and, if necessary, reject, modify or delete the relevant content), we cannot guarantee that all content is true, accurate or up-to-date. By using Alethya, you accept that user profiles, messages, communication and other content may not always be genuine.
8.6 Use of Alethya has to remain at your own risk and you will be responsible for any resultant damage to your software or computer systems, including any resultant loss of data, from your use of it.

9. Limitation of our liability

9.1 We expressly disclaim all liability to you for all losses, damages or additional costs that you may incur (whether direct or indirect) as a result of:
9.1.1 your use of (or inability to use), Alethya;
9.1.2 the loss or corruption of any data you store with Alethya;
9.1.3 the temporary or permanent unavailability of Alethya (including any delays or disruptions);
9.1.4 the actions of another user;
9.1.5 a virus or other malicious software infecting your computer or device (where you do not have up-to-date anti-virus software);
9.1.6 the content of another company’s website, or their business practices, that you access through Alethya; or
9.1.7 another company’s advertisement displayed on Alethya.
9.2 We disclaim all liability for the actions of another user, including any such actions that may take place during any events we organise or facilitate.
9.3 Where you use Alethya for any commercial purpose without our prior written consent, you agree to account to us for all profits made as a result of, and any income derived from, such use.
9.4 Nothing in these Terms, or any Alethya Policy, shall limit our liability to you for anything that cannot be excluded or limited (reasonably) under applicable laws.

10. Linking

10.1 You may link to any part of Alethya, including any content uploaded to it, provided you do so in a way that is fair, legal and does not damage our reputation or take advantage of such, or exploit the relevant person to whom the content belongs.
10.2 Where you wish to link Alethya with (or on) any other website, blog or page (whether or not such website is owned, operated or controlled by you), you must only do so in a way that does not suggest any form of association with, approval of or endorsement by us with any third party product or service (where none exists).
10.3 No rights granted to you by this section 10 to link any part of Alethya extend to copying or downloading any content for distribution or hosting by you at any time.
10.4 You must not frame Alethya on any third party website at any time, without our prior written consent.

11. Transfers

11.1 Your account is personal to you. You cannot assign or transfer your account to, or for the benefit of, any other person. These Terms will remain applicable to you if you do assign or transfer any such account, and you will be responsible for the acts or omissions of your transferee or assignee.
11.2 We may assign our rights under these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.

12. General

12.1 STATUS We are an independent service provider. We are not, at any time, your agent, partner or trustee.
12.2 NO WAIVER Any failure by us to insist upon strict performance of any part of the our Policies or these Terms, or any delay to exercise any rights or remedies to which we are entitled shall not constitute a waiver of such right or remedies.
12.3 SEVERANCE If any provision or part-provision of these Terms become illegal, invalid or unenforceable such provision will be deemed modified to the minimum extent necessary to make it valid, legal or enforceable. If such modification is not possible, such provision will be deleted without affecting the validity of the remainder.
12.4 NOTICES Any notice given by you to us in connection with any of our Policies or these Terms must be in writing. Any notice we give to you shall be through the email address you provide to us on registration.
12.5 THIRD PARTIES No person who is not a party to any of our Policies shall have any rights under Contracts (Rights of Third Parties) Act 1999 to enforce any of their terms.
12.6 GOVERNING LAW English law shall apply to all of our Policies, including these Terms. Any matters arising from, or connected with, your use of Alethya, including any dispute between you and us (including non-contractual disputes) will be subject to the exclusive jurisdiction of the English courts.
